These terms are an agreement between you and Leo Notes, a sole proprietorship based in Canada, covering your use of the website at leonotes.ca and the application at app.leonotes.ca. By creating an account you accept them. If you do not accept them, do not create an account.
Leo Notes converts audio and video you provide into written transcripts, and gives you tools to read, search, translate and ask questions about those transcripts. You provide the material, either by uploading a file or by submitting a link to material you want transcribed. The service acts on your instruction and only on your instruction.
You need an account to use the service. Keep your password to yourself, use an email address you control, and tell us promptly if you think someone else has access. You are responsible for what happens under your account. Accounts are for one person; do not share login credentials.
You must be at least the age of majority where you live, and you must not be barred from receiving services under applicable Canadian law.
You must have the right to do what you are asking us to do. By submitting a file or a link, you confirm that you own the material, have permission from whoever does, or are otherwise entitled to make a transcript of it for your own research, study or private use. You are responsible for that judgement. We do not review what you submit and we cannot verify your rights in it.
You keep all rights in your material and in the transcripts made from it. We claim no ownership. We take no licence to publish, share, sell or display your material, and we do not use it to train any machine learning model.
We process your material only to provide the service to you: to transcribe it, to store it for you, to run the features you ask for, and to keep backups. Section 5 of the privacy policy names the third-party providers involved.
Access is sold as a monthly subscription, charged in Canadian dollars, billed in advance, and renewing automatically each month until you cancel. Each subscription month includes an allowance of processing. Your allowance and your usage are shown in the app, in dollars, and updated as you use them.
If you exhaust your allowance you may buy additional credit as a one-time purchase. Credit is drawn on only after the monthly allowance is used up, and does not expire while your subscription is active. There is no automatic overage billing. When allowance and credit are both exhausted, processing stops and asks you before anything further is spent.
Prices are exclusive of sales tax. Applicable GST, HST, PST or QST is added at checkout based on where you are. Payments are processed by Stripe, Inc. under its own terms. We do not receive or store your card number.
We may change prices. If we do, we will tell you by email at least 30 days before the change takes effect, and it will apply from your next renewal. You can cancel before then.
After cancellation your transcripts remain available for 30 days so you can export them. After that we may delete them. You can delete them yourself at any time, sooner.
We aim to keep the service running but we do not promise that it will be uninterrupted or error-free. Transcription is automatic and is not guaranteed to be accurate; it misrecognises names, jargon and crosstalk, and speaker labels are estimates. Do not rely on a transcript for anything consequential without checking it against the audio. The service is provided as is, without warranties of any kind to the extent the law allows.
Some sources cannot be retrieved, or stop being retrievable, because of how the site hosting them behaves. That is outside our control and is not a defect in the service.
Transcripts on Leo Notes are private to the account that created them and are not published. If you nonetheless believe material processed on this service infringes your copyright, write to hello@leonotes.ca with your contact details, identification of the work, and what you are asking for. We will forward a notice to the account holder where Canada's notice-and-notice regime applies, and we will remove material where removal is warranted. We suspend or close accounts that repeatedly infringe.
We may suspend or close an account that breaks these terms, that is being used unlawfully, or where payment fails and is not fixed after we ask. Where the circumstances allow it we will warn you first and give you a chance to put it right. If we close your account for a reason that is not your fault, we refund the unused portion of what you paid.
You may close your account at any time from the account page.
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, for lost profits, or for loss of data beyond our reasonable control. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.
Nothing here limits liability that cannot be limited by law, including under consumer protection legislation that applies to you.
We may update these terms. If a change materially affects you we will email you at least 30 days before it takes effect. Continuing to use the service after that means you accept the updated terms. The effective date at the top of this page always reflects the current version.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, except that you may bring a claim in the courts of the province where you live if the law entitles you to.
